Collective Partner Terms

These Collective Partner Terms (“Collective Terms”) apply to organisations, institutions, community groups and other partners (“Collective Partners”) that create, operate, administer or contribute to a Collective on the River Valley Irregulars platform (“RVI Platform”).

These Collective Terms supplement the River Valley Irregulars Terms of Service and Privacy Policy. By requesting, creating, administering or continuing to operate a Collective, the Collective Partner agrees to these Collective Terms.

Where an individual accepts these Collective Terms on behalf of an organisation, that individual confirms that they are authorised to do so.

An RVI Collective provides an organisation with a presence on the RVI Platform through which it may share information, programmes, events, opportunities, jobs, resources and other relevant content with the RVI community.

The features available to a Collective may vary depending on the nature of the partnership and the functionality available on the RVI Platform.

The creation of a Collective does not by itself establish an employment relationship, agency, joint venture or other legal partnership between RVI and the Collective Partner.

Each Collective Partner may nominate authorised representatives to administer its Collective.

The Collective Partner is responsible for ensuring that persons given access to administer or contribute to its Collective are appropriately authorised.

Administrative access must not be shared with unauthorised persons. The Collective Partner should promptly notify RVI where an administrator leaves the organisation, changes responsibilities or should otherwise no longer have access.

RVI reserves the right to remove or restrict administrative access where reasonably necessary for security, safety, legal compliance or the proper operation of the Platform.

At the request or with the authorisation of a Collective Partner, RVI personnel may be added as administrators, contributors or other authorised users of the Collective.

RVI personnel may assist the Collective Partner with activities including creating and updating its Collective page; posting programmes, events, opportunities and job listings; uploading materials supplied by the Collective Partner; making administrative updates; and supporting the general management of the Collective.

Where RVI personnel publish content on behalf of a Collective Partner, they do so based on information, materials or instructions supplied or approved by the Collective Partner.

The Collective Partner remains responsible for ensuring that information supplied to RVI for publication is accurate, lawful, current and appropriately authorised.

RVI personnel may make reasonable formatting, grammatical, presentation or technical changes to content provided by the Collective Partner. RVI will not knowingly make a material change to the substance of the content without the Collective Partner's authorisation.

The Collective Partner retains ownership of content, logos, trademarks, photographs, materials and other intellectual property belonging to it (“Partner Content”).

By providing Partner Content for use on the RVI Platform, the Collective Partner grants RVI a non-exclusive permission to host, reproduce, display, format and otherwise use the Partner Content to the extent reasonably necessary to operate the Collective and provide the relevant RVI services.

The Collective Partner confirms that it has the necessary rights and permissions to provide such content to RVI.

Where photographs, testimonials, personal information or other materials relating to identifiable individuals are provided, the Collective Partner is responsible for ensuring that the appropriate permissions or other lawful basis for their use have been obtained.

Collective Partners may use their Collective to publish or request RVI to publish events, programmes, opportunities, jobs and other relevant listings.

The Collective Partner is responsible for the substance and accuracy of listings published on its behalf, including eligibility requirements, dates, locations, application requirements, remuneration or salary information, closing dates and other material information.

The Collective Partner should inform RVI promptly where information changes or a listing is no longer available.

RVI may remove or suspend a listing that appears misleading, unlawful, unsafe, inappropriate for the RVI community or inconsistent with these Collective Terms or the RVI Terms of Service.

Unless expressly stated otherwise, the publication of a third-party opportunity on the RVI Platform does not mean that RVI is the employer, organiser or provider of that opportunity.

Collective Partners must use their Collective in a manner consistent with the purposes of the RVI Platform and must not knowingly publish unlawful, fraudulent, discriminatory, misleading, harmful or infringing content.

Collectives must not be used to obtain information about RVI users for purposes unrelated to the programme, opportunity, event or service for which that information was provided.

RVI may take reasonable action where the use of a Collective creates a safety, security, privacy, legal or reputational concern for RVI or its community.

Each party is responsible for complying with applicable data protection laws, including the Singapore Personal Data Protection Act 2012 (“PDPA”), in relation to Personal Data it collects, uses, discloses or otherwise processes.

Where a Collective Partner receives or is given access to Personal Data concerning RVI users through the Platform, such Personal Data must only be accessed and used for the purposes for which access was provided.

A Collective Partner must not use Personal Data obtained through RVI for unrelated marketing, profiling, solicitation or other purposes unless the individual has been appropriately informed and the necessary consent or other lawful basis has been obtained.

The Collective Partner must take reasonable security measures to protect Personal Data to which it has access and must restrict access to appropriately authorised personnel.

Where either party processes Personal Data solely on behalf of the other party, the parties will cooperate to establish any additional data processing arrangements reasonably required under applicable law.

Where appropriate, RVI may restrict the Personal Data accessible to Collective administrators according to their role and the functionality required.

A Collective Partner should notify RVI without undue delay if it becomes aware of unauthorised access to, disclosure of, loss of or other security incident involving Personal Data obtained through the RVI Platform.

RVI and the Collective Partner will reasonably cooperate in investigating and addressing such incidents and fulfilling any applicable legal obligations.

Access to an RVI Collective does not provide unrestricted permission to contact RVI users.

Where a Collective Partner communicates directly with RVI users, it must do so only for legitimate purposes connected to the relevant Collective, programme, event, opportunity or other interaction initiated or authorised by the user, or where another appropriate basis exists.

Collective Partners must respect users' communication and marketing preferences.

Neither RVI nor the Collective Partner acquires ownership of the other party's name, logo, trademarks or other intellectual property merely through participation in a Collective.

Each party grants the other a limited, non-exclusive permission to use its name and branding to the extent reasonably necessary to identify and operate the Collective or communicate the collaboration.

Any broader promotional or commercial use should be separately agreed where appropriate.

RVI may moderate, restrict or remove Collective content where reasonably necessary because the content breaches applicable law, these Collective Terms or the RVI Terms of Service; creates a safety or security concern; infringes third-party rights; is materially inaccurate or misleading; or could reasonably harm users or the operation of the Platform.

Where reasonably practicable, RVI will communicate with the Collective Partner regarding material issues affecting its Collective.

Either RVI or the Collective Partner may request to end the Collective arrangement.

Upon termination, RVI may remove or archive the Collective, remove administrator access and cease displaying Partner Content where appropriate.

Ending a Collective does not automatically require immediate deletion of all information associated with it. Information may be retained where reasonably necessary for legal, security, administrative, record-keeping or other legitimate purposes in accordance with RVI's Privacy Policy and applicable law.

Where appropriate, RVI and the Collective Partner may agree on arrangements concerning existing programmes, registrations or commitments to users before the Collective is closed.

RVI will take reasonable steps to maintain the availability and functionality of the RVI Platform but does not guarantee uninterrupted or error-free access.

Features may be modified, added, suspended or discontinued as the Platform develops.

RVI will endeavour to minimise unnecessary disruption to Collective Partners where reasonably practicable.

Unless separately agreed in writing, nothing in these Collective Terms creates an employment relationship, agency, franchise, joint venture or legal partnership between RVI and a Collective Partner.

Neither party has authority to enter into commitments on behalf of the other solely because it operates or participates in an RVI Collective.

Where RVI personnel assist with administering a Collective or posting content on behalf of a Collective Partner, this assistance does not transfer responsibility for the underlying programme, event, job, opportunity or information to RVI.

RVI may update these Collective Terms from time to time to reflect changes to the Platform, our services, legal requirements or the operation of the Collectives feature.

Where changes materially affect the rights or responsibilities of existing Collective Partners, RVI will take reasonable steps to provide appropriate notice.

These Collective Terms are governed by the laws of the Republic of Singapore.

Any dispute arising from these Collective Terms will be subject to the jurisdiction of the courts of Singapore unless otherwise required by applicable law or separately agreed between the parties.
